Service Agreement

Last updated: July 22, 2026

1. Agreement Overview

This Service Agreement ("Agreement") governs the services provided by Prudent Motions ("we," "us," "our") to the client ("you," "Client") who engages us for marketing, automation, website development, software, coaching, or related growth services (the "Services"). By purchasing or engaging any of our Services, you agree to the terms below.

2. Scope of Services

The specific Services, deliverables, timelines, and fees for each engagement are defined in the proposal, invoice, or written communication provided to you before work begins ("Statement of Work"). Anything not expressly included in the Statement of Work is out of scope. Additional requests will be quoted separately and require written approval before work begins.

3. Fees & Payment Terms

  • Fees are as stated in your Statement of Work or invoice and are payable in U.S. dollars
  • Unless otherwise agreed, project work requires payment (or the first installment) before work begins
  • Recurring services (such as monthly marketing or coaching) are billed in advance on a recurring basis
  • Advertising spend paid to platforms (Google, Meta, etc.) is separate from and in addition to our fees
  • Late payments may result in paused work, suspended campaigns, or withheld deliverables until the account is current
  • Except where required by law or expressly stated, fees are non-refundable once work has commenced

4. Client Responsibilities

Timely delivery of the Services depends on your cooperation. You agree to:

  • Provide accurate business information, brand assets, and account access needed for the work
  • Respond to approval requests and feedback rounds within a reasonable time
  • Maintain any third-party accounts (ad platforms, domains, hosting) required for the Services
  • Ensure that all content and materials you provide do not infringe any third party's rights

Delays caused by missing information or approvals may extend timelines without penalty to us.

5. Marketing Performance Disclaimer

Marketing and advertising outcomes depend on many factors outside our control — including your market, offer, pricing, seasonality, platform policy changes, and your responsiveness to leads. While we apply proven strategies and best practices, we do not guarantee specific results, including lead volume, rankings, revenue, or return on ad spend. Any projections we share are good-faith estimates, not promises.

6. Intellectual Property

  • Your materials — you retain ownership of all content, trademarks, and assets you provide
  • Final deliverables — upon full payment, you own the final deliverables created specifically for you (websites, creative assets, copy)
  • Our tools & know-how — we retain ownership of our pre-existing frameworks, templates, code libraries, processes, and methods, and may reuse them for other clients
  • Portfolio rights — unless you request otherwise in writing, we may reference your project and non-confidential results in our portfolio and marketing

7. Confidentiality

Both parties agree to keep the other's non-public business information confidential and to use it only for purposes of the engagement. This obligation survives the termination of this Agreement.

8. Term & Termination

  • Project engagements end upon delivery and final payment
  • Recurring engagements continue month-to-month unless a fixed term is stated, and may be cancelled by either party with 30 days' written notice
  • We may terminate immediately if invoices remain unpaid or if the working relationship becomes untenable
  • Upon termination, you are responsible for fees for all work performed through the termination date

9. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Services is limited to the amount you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of materials you provide, your products or services, or your violation of any law or third-party right. We agree to indemnify you against claims that our original work product infringes a third party's intellectual property rights.

11. Independent Contractor

We are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the parties.

12. Governing Law & Disputes

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. The parties agree to attempt good-faith resolution of any dispute before pursuing formal proceedings.

13. Changes to This Agreement

We may update this Agreement from time to time; the version in effect when your engagement begins governs that engagement. Material changes to ongoing recurring services will be communicated with reasonable notice.
